These Terms and Conditions (“Terms”) govern your use of the services and website operated by Recur ("we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Service Description

The Review Pals provides review generation and reputation management services. We help businesses request, collect, respond to, and repurpose customer reviews across various platforms.

We do not guarantee specific results (e.g. number of reviews), as this depends on the responsiveness of your customer base and other external factors beyond our control.

2. Client Responsibilities

You agree to:

Provide accurate and complete information about your business and your customers.

Ensure that all customer data you provide has been lawfully obtained, and that you have permission to use it for review outreach.

Use our services only for lawful purposes and in compliance with all applicable UK laws, including data protection and privacy laws.

Not engage in spam, misleading review solicitation, or any attempt to manipulate review platforms.

3. Data Protection & Privacy

We are fully committed to complying with the UK GDPR and Data Protection Act 2018. You can read our Privacy Policy for more information on how we process your data.

You are responsible for ensuring that any customer data shared with us has been collected with proper consent for the purpose of review outreach.

Where special category data (such as health-related information) is shared, the client warrants that they have obtained the explicit consent of the data subject for the purposes of review solicitation and management, in line with Article 9 of the UK GDPR. The Review Pals will apply enhanced security and confidentiality measures in accordance with applicable law.

3.1 Data Processing Agreement (DPA)

Where we process personal data on your behalf, The Review Pals acts as a data processor and you act as the data controller, as defined under the UK GDPR. Our processing activities shall be governed by a Data Processing Agreement (DPA), which forms part of these Terms by reference.

You agree that:

You have obtained all necessary consents and lawful grounds to share customer data with us.

You shall not provide us with special category data (e.g. health information) unless explicit consent has been obtained from the data subject.

You will comply with your obligations as a data controller under applicable data protection laws.

3.2 Security Measures

The Review Pals implements appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including:

Encryption of data at rest and in transit

Role-based access controls and restricted data access

Secure authentication and account access protocols

Use of GDPR-compliant sub-processors with contractual safeguards

Regular internal audits and data protection reviews

Incident response planning and breach notification procedures

We regularly assess and update our data security practices to ensure continued protection of personal data.

3.3 Data Retention

We retain personal data only for as long as necessary to deliver our services, comply with legal obligations, and resolve disputes. Upon termination of our agreement, data will be securely deleted or anonymised within 60 days, unless retention is legally required or requested by the client for auditing purposes.

4. Fees and Payments

All fees are agreed upon prior to the start of service and are payable either monthly or as a one-off fee depending on your plan.

Late payments may result in service suspension or termination.

Fees are non-refundable unless explicitly stated otherwise.

5. Intellectual Property

All content, software, and processes developed or used by us in providing services remain the intellectual property of The Review Pals or its licensors.

You are granted a non-exclusive, non-transferable license to use our platform and content solely for your own business review management purposes.

You agree not to copy, distribute, modify, or reverse-engineer any part of our platform or services.

6. Term and Termination

This agreement continues until terminated by either party. You may terminate at any time with 7 days written notice.

We may terminate or suspend your access immediately for breach of these Terms, non-payment, or unlawful use of the services.

Upon termination, all outstanding fees become immediately due.

7. Limitation of Liability

To the fullest extent permitted by law, The Review Pals shall not be liable for:

Any indirect, incidental, or consequential damages.Any loss of profits, business, or data arising out of your use of our services.

Our total liability shall not exceed the amount paid by you to us in the 3 months preceding any claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud.

8. Indemnity

You agree to indemnify and hold harmless The Review Pals from any claims, losses, damages, or legal fees arising from:

Your breach of these Terms.Your misuse of our services.Your failure to comply with applicable data protection laws.

9. Third-Party Services

We may use third-party service providers (e.g., GoHighLevel, Zapier, Facebook, Google) to deliver aspects of our service. Where customer data is shared with third-party sub-processors, we ensure such providers implement adequate safeguards and data protection measures in line with the UK GDPR.

You acknowledge that:

These services are governed by their own terms.

We are not responsible for any third-party service interruptions or issues.

10. Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms due to events beyond our reasonable control (e.g., natural disasters, pandemics, cyber-attacks, service outages).

11. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes, and your continued use of our services after such notice constitutes acceptance of the updated Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
